1. Acceptance of These Terms

These terms form a binding agreement between you and ChangSha CangBiChen Trading Co., Ltd. You accept them by visiting the site, by sending us a message, or by entering into a written engagement with the desk. If you act on behalf of an organisation, you confirm that you have authority to bind that organisation, and the terms of you then refer to that organisation.

A signed service agreement, a returned written statement of work or a consignment letter that both sides have accepted may add to or vary these terms for a specific engagement. Where a signed document conflicts with these terms, the signed document prevails for that engagement. Nothing on this website is an offer that cannot be withdrawn, and all descriptions of services are invitations to begin a conversation rather than a promise of a fixed outcome.

2. Definitions

In these terms, the following words have the following meanings. The desk means the mist ledger desk operated by ChangSha CangBiChen Trading Co., Ltd. under the BlueDust Trade name. The site means the website at https://www.bluedusttrade.surf and every page served from it. The services means the systems design, integration, review and support work described on the site and in a written engagement. Deliverable means any document, configuration, report or software component that the desk hands to a client. Written note means a ship note, a mist sheet, a consignment letter or any comparable record produced by the desk. Client materials means any information, data, document or system that a client supplies to the desk.

3. Eligibility to Use the Site

The site is intended for business and professional use. You may use it only if you can form a binding contract under the law that applies to you and are at least sixteen years old. If you are using the site on behalf of a company, you confirm that you are authorised to accept these terms for that company.

You are responsible for making sure that your use of the site complies with the laws that apply where you are, and that you do not use the site from a place where doing so would be unlawful. We may decline or end a relationship if we have a reasonable belief that use would breach a legal requirement or a sanction that applies to us.

4. Description of Services

The desk provides computer systems design and related professional services, with a focus on integrated systems. The service ledger on this site describes six practice stations: Ship Note Bays, Mist Sheet Runs, Consignment Letter Desks, Berth Windows, Drift Review Rounds and River Sittings. Each station is described in general terms so that a prospective client can understand the method before beginning.

A general description is not a promise of a specific result. The exact scope of any engagement, the schedule, the people involved and the deliverables are agreed in writing before the work begins. If you are unsure whether a station covers what you need, contact the desk and a keeper will explain the options in plain language.

5. Your Responsibilities

To make the desk work well, we depend on you for a few simple things. You agree to:

  • Provide accurate and complete information when you contact us or begin an engagement.
  • Keep the contact details you give us current, so that written notes reach the right people.
  • Name a person who can approve decisions and reply to questions on your side.
  • Make sure you have the rights needed to share any client material that you give us.
  • Follow the reasonable security and access instructions that we provide for a live engagement.
  • Tell us promptly if something on your side changes in a way that affects the work.

Delays caused by missing information, unavailable contacts or late approvals may affect a schedule, and the desk will say so in writing when it happens. We will work in good faith to reduce the effect, but we cannot accept responsibility for a delay that a client causes.

6. Engagement and Written Notes

Every engagement begins with a written note. The ship note frames the problem, the mist sheet records the unknowns, and the consignment letter records the handover. These notes are central to the method and are treated as part of the agreement. A change to a scope that has already been recorded is made by a short written amendment, not by a conversation alone.

We keep a copy of each written note for our records and give the client its own copy. The notes are written in ordinary language on purpose, so that a person who joins the project later can understand what was agreed without needing the desk to explain it. If a note contains an error, tell us and we will issue a corrected version that supersedes the earlier one.

7. Fees and Payment

Fees for an engagement are stated in the written agreement or quotation that precedes the work. Unless the agreement says otherwise, fees are quoted in the currency named in the quotation and exclude taxes that apply to the transaction. Payment terms are set out in the same document, and we try to keep them simple.

Invoices are payable within the period stated on the invoice. If a payment is late, we may pause work after giving written notice, and we may charge interest at the rate the law allows for business debts. We will not suspend a live engagement without first trying to resolve the matter by conversation. Fees already paid for work performed are generally non refundable, but if we cannot deliver a promised stage we will discuss an appropriate adjustment in good faith.

Expenses such as travel, third party licences or hosting costs are charged only when they are agreed in advance or are clearly necessary for the work. We will provide supporting details on request.

8. Deliverables and Handover

Deliverables are handed over according to the schedule in the written agreement. A handover is complete when the client has received the deliverable, the consignment letter that explains it, and a reasonable opportunity to ask questions. We expect the client to review a deliverable within the period agreed and to raise any issue in writing so that it can be resolved.

If a deliverable depends on a third party platform that changes without notice, the desk will explain the effect and propose a remedy. We do not control third party platforms, and we do not promise that a deliverable will keep working on a platform that is changed or withdrawn by its owner. Where possible we build so that a change can be absorbed without a full rebuild.

9. Intellectual Property

The site, its text, its visual design and the written material that the desk has produced for the site are owned by ChangSha CangBiChen Trading Co., Ltd. or are used under a valid licence. You may read and share the public pages for your own reference, but you may not copy the site wholesale, republish it as your own work or use its content to train a system for commercial resale without written permission.

For an engagement, intellectual property in a custom deliverable is handled as the written agreement states. Where the agreement is silent, the client receives a licence to use the deliverable for its business purposes, while the desk keeps ownership of its general methods, templates and written practice. We never claim ownership of client materials, and we do not reuse a client confidential document in another engagement.

10. Client Materials and Confidentiality

You keep ownership of everything you give us. You grant us the limited right to use client materials for the purpose of the engagement, and for no other purpose. We handle client materials with the same care we apply to our own written notes, and we restrict access to keepers who need it for the work.

Each side agrees to keep the other confidential information private. Confidential information includes written notes, business plans, system details and any material marked as confidential where the marking is reasonable. It does not include information that is already public, that was lawfully known before the engagement, or that must be disclosed by law, provided the side required to disclose gives prompt notice where it is permitted to do so. These duties survive the end of the engagement for as long as the information remains confidential.

11. Acceptable Use

You agree not to use the site or the services in a way that harms the desk, its clients or anyone else. In particular you must not:

  • Attempt to gain unauthorised access to the site, the server or any connected system.
  • Introduce malicious code, overload the site or interfere with its normal operation.
  • Use automated scraping that places an unreasonable load on our infrastructure.
  • Send unlawful, deceptive or harassing messages through the contact form or by email.
  • Misrepresent your identity or your authority to act for an organisation.
  • Use the services to build or support a system that is unlawful or harmful.

If we believe that a use breaches this section, we may suspend access, decline a message or end an engagement, and we may report the matter to the relevant authority where the law requires it.

12. Third Party Components

Some parts of a delivered system may depend on software, platforms or services owned by third parties. Those components are governed by their own licences and terms, and the desk passes them through to the client rather than rewriting them. We choose third party components with care, but we cannot promise that a third party will keep its service unchanged, keep its prices stable or keep its licence terms the same.

If a third party component becomes unavailable or unsuitable, we will work with you to find a replacement within the terms of the engagement. Support for a third party component is limited to the extent that the desk is able to influence it.

13. Service Standards and Disclaimer

We promise to perform our work with reasonable skill and care, in line with the method described on this site and the written agreement. That is a genuine promise and we stand behind it. Beyond that promise, and to the fullest extent the law allows, the site and the services are provided without any other warranty, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non infringement.

The desk does not warrant that the site will always be available, free of errors or free of harmful components. We maintain the site with care and will correct problems we find, but planned maintenance and events outside our control may interrupt access. No advice given on the site creates a warranty unless a keeper confirms it in a signed written note.

14. Limitation of Liability

To the fullest extent the law allows, ChangSha CangBiChen Trading Co., Ltd. will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, goodwill, data or business opportunity, that arises from the use of the site or from an engagement, even if we were advised that such a loss was possible. This limit does not apply to a loss that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.

Where liability is not excluded, our total liability for all claims connected with an engagement is limited to the fees that the client paid to the desk for the work giving rise to the claim in the twelve months before the claim arose. Where the site is used free of charge, our total liability is limited to a reasonable amount that reflects the nature of the claim.

15. Indemnity

You agree to defend and hold harmless ChangSha CangBiChen Trading Co., Ltd. and its keepers from any claim, loss or reasonable cost that arises from your breach of these terms, from client materials that infringe the rights of a third party, or from your use of a deliverable in a manner that the written agreement does not allow. We will tell you promptly about any such claim and will cooperate reasonably in the defence, provided you fund the defence and do not settle a claim in a way that admits fault on our part without our written agreement.

16. Term, Suspension and Termination

These terms apply while you use the site and, for an engagement, for the duration of the written agreement and the period needed to close the final written notes. Either side may end an engagement as the written agreement provides. Where the agreement is silent, either side may end it with reasonable written notice, and the client pays for work performed up to the end date.

We may suspend or end access to the site immediately if we have a reasonable belief that your use breaches these terms or creates a risk to the desk or to other clients. If we end a relationship for a reason that is not your fault, we will handle the wind down fairly and return any client materials we hold. On termination, the sections of these terms that by their nature should survive will continue to apply, including confidentiality, intellectual property, limitation of liability and governing law.

17. Privacy

Our handling of personal information is described in the Privacy Policy, which forms part of these terms. By using the site you confirm that you have read the Privacy Policy and understand how your information is used. If an engagement involves client data that contains personal information about other people, the written agreement will set out how that data is handled, and the desk will follow it.

The Privacy Policy is available at /privacy and is reached from the footer of every page. If there is a conflict between these terms and the Privacy Policy about personal information, the Privacy Policy prevails for that information.

18. Changes to These Terms

We may update these terms from time to time to reflect a change in the law, a change in the desk or an improvement in clarity. When we update them, we change the date at the top of this page. If the change is material, we will post a notice on the homepage and, where a live engagement is affected, write to the client directly.

Continuing to use the site after a change takes effect means you accept the updated terms. If you do not accept them, you should stop using the site. A change to these terms does not change the written agreement for an engagement that has already begun unless both sides agree in writing.

19. Governing Law and Disputes

These terms are governed by the laws of China, without regard to conflict of law rules. If a dispute arises, we first ask both sides to try to resolve it through a direct conversation between a keeper and a representative of the client. Most matters end at that stage, and the desk prefers it that way.

If direct conversation does not resolve the dispute, either side may bring the matter before a competent court in ChangSha, China, unless the law that applies to you gives you the right to bring the matter in a different forum, in which case that right is preserved. Nothing in this section prevents either side from seeking urgent relief from a court where it is necessary to protect a legal right.
